Terms of Service
This is the agreement between you and SMughal Labs LLC for using Suhbah. It's written to be readable. Three parts deserve your attention before you scroll past them: the halal and venue information disclaimer, the gatherings and in-person safety terms, and the arbitration agreement and class action waiver, which affects how any dispute between us gets resolved and which you can opt out of within 30 days.
1. Agreement to these terms
Suhbah is operated by SMughal Labs LLC, a New Jersey limited liability company ("Suhbah", "we", "us", "our"). These Terms of Service (the "Terms") govern your access to and use of the Suhbah mobile and web applications, the suhbah.app website, and everything we offer through them (together, the "Service").
By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use Suhbah. Our Privacy Policy and Community Guidelines are part of this agreement and are incorporated by reference.
2. Eligibility and your account
- You must be at least 18 years old. We verify this at signup and enforce it server-side.
- You must give accurate information and keep it current.
- One account per person, unless we agree otherwise in writing. Business and creator accounts are for the business or creator they represent.
- You're responsible for your account, your password and everything done through your account. Turn on two-factor authentication in Settings → Security.
- Tell us promptly at saad@smughal.com if you think your account has been compromised.
- You may not sell, rent or transfer your account, or use someone else's.
- If we've previously terminated your account, you may not create a new one without our written permission.
3. Discovery, not endorsement
Suhbah does not certify anything as halal. Halal status, alcohol and smoking information, prayer facilities, ingredient details and similar attributes are largely reported by members and businesses, not verified by us. We display a confidence level and the evidence behind it, precisely because we are not making the claim ourselves.
Verify anything that matters to you directly with the venue. Suppliers, recipes, certifications, staff and ownership all change, and community reports can be wrong, out of date, or submitted in error. If your religious observance, dietary needs, allergies or health depend on the answer, ask the venue yourself. You rely on information in Suhbah at your own risk.
The same applies elsewhere in the Service. Prayer times and qibla direction are calculated estimates provided for convenience — confirm with your local masjid. Masjid profiles, iqamah times, announcements and programme information are maintained by community members and masjid representatives, not by us. Listings, hours, menus, prices and photos may be inaccurate or out of date.
A listing in Suhbah is not a recommendation, endorsement, certification or guarantee of any business, masjid, creator, host, event or member.
4. Your content and the licence you grant
4.1 You own what you make
Reviews, tips, photos, videos, posts, comments, guides, lists, events and everything else you submit is your "User Content", and you keep the rights you already had in it.
4.2 The licence you give us
To run Suhbah at all, we need permission to display what you post. You grant SMughal Labs LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, adapt (for formatting and display), publish, publicly display and distribute your User Content, solely for the purposes of operating, developing and promoting the Service.
This licence ends when you delete the content or your account, except that: (a) content you shared with others may persist in their copies; (b) it survives in backups until those age out on the normal cycle; (c) reviews and tips may remain in anonymised form as described in our Privacy Policy; and (d) we may retain what we must for legal, safety or enforcement reasons.
4.3 What you're promising
By posting, you represent that:
- you own the content or have all necessary rights to post it and grant this licence;
- it doesn't infringe anyone's copyright, trademark, privacy, publicity or other rights;
- anyone identifiable in a photo or video has consented to appear;
- it's accurate to the best of your knowledge — especially halal and venue information, which other Muslims will rely on; and
- it complies with these Terms, our Community Guidelines and applicable law.
4.4 We don't pre-screen
User Content is not reviewed before it appears, and it doesn't represent our views. We have no obligation to monitor it, but we may remove or restrict any content at our discretion. We are not responsible for User Content, and to the fullest extent the law allows we disclaim liability for it.
4.5 Feedback
If you send us suggestions or feedback, we can use them freely and without obligation or compensation to you.
5. Acceptable use
Our Community Guidelines set the standard in detail. In short, you may not:
- harass, bully, threaten, stalk, defame or intimidate anyone;
- post hate speech, or attack people based on religion, sect, madhhab, race, ethnicity, national origin, gender, disability or any other protected characteristic;
- post sexual, obscene, graphically violent or otherwise inappropriate content;
- post content that is unlawful, fraudulent, deceptive or infringing;
- impersonate anyone, or misrepresent your affiliation with a person, business or masjid;
- post fake, incentivised or retaliatory reviews, or manipulate ratings;
- make halal or haram declarations you have no basis for, or knowingly submit false verification evidence;
- spam, or send unsolicited commercial messages;
- publish another person's private information without permission;
- use Suhbah to organise or promote anything illegal or harmful;
- scrape, crawl, harvest or bulk-download content or member data, or use bots or automated access, except as we expressly permit;
- reverse engineer, decompile or disassemble the Service, except where that restriction is unenforceable by law;
- probe, scan or test the security of the Service, circumvent access controls or authentication, or access data you're not authorised to access;
- interfere with the Service, overload our infrastructure, or introduce malware;
- resell or commercially exploit the Service or its data without our written permission.
If you're a security researcher and you find a vulnerability, please report it to saad@smughal.com rather than exploiting it. We appreciate good-faith disclosure and will not pursue researchers who follow it.
6. Moderation, enforcement and appeals
Anyone can report content or an account from inside the app. We review reports and may take any of the following actions, roughly in order of severity: a warning; removing content; a 24-hour mute; a 7-day suspension; or a permanent ban. We may also restrict features, remove a verification or claim, or withhold payouts where fraud is involved.
We aim to act proportionately and to consider context, but severe violations — threats, sexual content involving minors, credible risks to safety, coordinated fraud — can result in immediate permanent removal with no prior warning.
Appeals. If you think we got it wrong, reply to the notice or email saad@smughal.com within 30 days. A person will review it. We keep records of enforcement actions so decisions are consistent and reviewable.
Community and masjid moderators can manage content within their own spaces. Their decisions are theirs, not ours, and are also subject to these Terms.
7. Gatherings and in-person meetups
Suhbah is a listing platform, not the organiser. Gatherings are created and run by independent hosts. We do not organise, supervise, insure, inspect or vet gatherings, venues, hosts or attendees, and we are not a party to any agreement between a host and an attendee.
You attend at your own risk. Meeting people from the internet carries real risk. Meet in public where you can, tell someone where you're going, and leave if something feels wrong.
If you host
- You're solely responsible for your gathering: its accuracy, safety, legality, permits, insurance, accessibility and the conduct of it.
- Describe it honestly — time, place, cost, what's included, and any gender context or restrictions.
- You're responsible for complying with the venue's rules and with applicable law.
- Handle attendee information responsibly. Names and RSVP status shown to you are for running the event, not for marketing or resale.
- You must honour what you advertised, or refund attendees.
If you attend
- Your agreement is with the host, not with Suhbah.
- Follow the host's and the venue's rules, including any gender context set for the gathering.
- To the fullest extent permitted by law, you assume the risks of attending and release SMughal Labs LLC from claims arising out of gatherings, other attendees, hosts or venues.
8. Tickets, donations and payments
Payments are processed by Stripe. By purchasing, you also agree to Stripe's terms. We never receive or store your full card details.
- Purchases are between you and the host. Suhbah facilitates the transaction; the host is the seller and is responsible for delivering the event.
- Prices are shown before you pay and include any Suhbah service fee. Service fees are non-refundable unless the law requires otherwise or we say so.
- Refunds are the host's responsibility. Each gathering's refund policy is set by its host and shown at checkout. Ask the host first. If a host cancels a gathering, they are responsible for refunding attendees, and we may facilitate or issue refunds at our discretion.
- Tickets are personal to the named attendee and may not be resold for profit. Your check-in code is your ticket — don't share it. We may void tickets obtained fraudulently.
- Donations are voluntary and non-refundable, and are generally not tax-deductible unless the recipient tells you otherwise and can substantiate it. We are not a charity and do not issue tax receipts.
- You are responsible for any taxes on your purchases. Hosts and creators are responsible for their own taxes on money they receive.
- Chargebacks. Please contact us or the host before disputing a charge. We may suspend accounts with unresolved chargebacks and recover amounts owed.
- Payouts to hosts and creators are made on the schedule shown in the app, net of fees, and may be delayed or withheld where we reasonably suspect fraud, a chargeback risk, or a violation of these Terms.
9. Creator, business and premium accounts
- Paid plans and subscriptions renew automatically at the interval shown until cancelled. Cancel any time through the billing portal in the app; cancellation takes effect at the end of the current period.
- Except where the law requires otherwise, fees already paid are non-refundable and we don't pro-rate partial periods.
- We may change prices with at least 30 days' notice before your next renewal. If you don't accept, cancel before it takes effect.
- Premium content, verification badges and creator tools are licensed, not sold, and may change as the Service evolves.
- We make no representation about how much you'll earn. Reach, revenue and engagement depend on many things outside our control.
- Creators are responsible for disclosing sponsorships, gifted meals and paid partnerships, as required by our Community Guidelines and by law.
- If you purchase a subscription through the Apple App Store or Google Play, that platform's billing terms apply and refunds are handled by them, not us.
10. Claiming a place or masjid
If you claim a business or masjid listing, you represent that you are authorised to act for it. We may ask for verification and may reject or revoke a claim at any time. Claiming a listing doesn't give you ownership of the listing, its reviews or its ratings, and you may not use management access to remove honest negative reviews. Deliberately false claims are a violation of these Terms and may be unlawful.
11. Our intellectual property
The Service — including its software, design, text, graphics, the Suhbah name and logo, and everything except User Content and third-party material — is owned by SMughal Labs LLC and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your own personal, non-commercial use (or, for business and creator accounts, for the permitted business use). All rights not expressly granted are reserved. You may not use our name or logo without written permission.
12. Copyright and DMCA
We respect intellectual property and respond to valid notices under the Digital Millennium Copyright Act.
Filing a notice
Send our designated agent, at saad@smughal.com with the subject "DMCA Notice", a written communication including:
- your physical or electronic signature;
- identification of the copyrighted work you say has been infringed;
- identification of the material you say is infringing, with enough detail for us to find it (a direct link is best);
- your name, address, telephone number and email address;
- a statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorised to act on their behalf.
Misrepresenting that material is infringing can make you liable for damages under 17 U.S.C. § 512(f).
Counter-notice
If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice to the same address containing your signature, identification of the removed material and where it appeared, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, your name, address and phone number, and your consent to the jurisdiction of the federal court for your district (or, if you're outside the United States, the District of New Jersey), and that you'll accept service of process from the person who filed the notice.
Repeat infringers
We terminate the accounts of repeat infringers in appropriate circumstances.
13. Third-party services
Suhbah incorporates third-party services, and your use of the relevant features is also subject to their terms:
- Google Maps — mapping and place data. Your use is subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
- Stripe — payments.
- Apple and Google — sign-in, app distribution and, where used, in-app purchases.
Links to external sites are provided for convenience. We don't control them and aren't responsible for their content, products or practices.
14. App Store and Google Play terms
These provisions apply if you downloaded Suhbah from the Apple App Store, and Apple is a third-party beneficiary of them with the right to enforce them against you:
- This agreement is between you and SMughal Labs LLC only. Apple is not a party to it.
- Your licence to use Suhbah is limited to a non-transferable licence to use it on Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide any maintenance or support for Suhbah.
- If Suhbah fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Suhbah.
- SMughal Labs LLC, not Apple, is responsible for addressing any claim relating to Suhbah, including product liability, failure to conform to legal requirements, and consumer protection or privacy claims.
- SMughal Labs LLC, not Apple, is responsible for investigating and defending any third-party claim that Suhbah infringes intellectual property rights.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting", and that you are not on any U.S. Government list of prohibited or restricted parties.
If you downloaded Suhbah from Google Play, the Google Play Terms of Service also apply to that download.
15. Termination
You may stop using Suhbah at any time and delete your account from Settings → Delete account, or by emailing saad@smughal.com.
We may suspend or terminate your access, with or without notice, if you violate these Terms or our Community Guidelines, if we're required to by law, if your conduct creates risk or legal exposure for us or other members, or if we discontinue the Service. Where we can give notice and an opportunity to fix the problem, we will.
On termination your licence to use the Service ends immediately. Sections 4.2–4.5, 11, 16, 17, 18, 19, 20 and 22 survive, along with any accrued payment obligations.
16. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SMUGHAL LABS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
Without limiting that, we do not warrant that: the Service will be uninterrupted, secure or error-free; any information in it — including halal status, alcohol or smoking information, prayer facilities, prayer times, hours, menus, prices or accessibility — is accurate, complete or current; any place, business, masjid, creator, host, gathering or member is safe, trustworthy, suitable or lawful; or that defects will be corrected.
Some jurisdictions don't allow the exclusion of certain warranties, so parts of this section may not apply to you.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SMUGHAL LABS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM: USER CONTENT; RELIANCE ON HALAL, DIETARY, ALLERGEN OR VENUE INFORMATION; THE CONDUCT OF ANY MEMBER, HOST, ATTENDEE, BUSINESS OR MASJID, ONLINE OR IN PERSON; ATTENDANCE AT ANY GATHERING; OR UNAUTHORISED ACCESS TO YOUR DATA.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including, in some jurisdictions, liability for death or personal injury caused by negligence, or for fraud. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you. These limits are a fundamental basis of the bargain between us.
18. Indemnification
You agree to indemnify, defend and hold harmless SMughal Labs LLC and its members, managers, officers, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with: your use of the Service; your User Content; a gathering you host or attend; your violation of these Terms, the Community Guidelines or applicable law; or your violation of any third party's rights. We may assume exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate.
19. Dispute resolution and arbitration
Please read this section carefully. It affects your legal rights. It requires most disputes to be resolved by individual binding arbitration rather than in court, and waives your right to a jury trial and to participate in a class action. You can opt out within 30 days — see 19.6.
19.1 Informal resolution first
Before starting arbitration or a lawsuit, you agree to try to resolve the dispute informally. Send a written notice to saad@smughal.com describing the dispute and the relief you want. We'll do the same for a dispute we have with you. If it isn't resolved within 60 days, either of us may proceed. This step is a condition precedent, and any limitation period is tolled while it runs.
19.2 Binding arbitration
If informal resolution fails, any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.
19.3 What's excluded
Either of us may instead:
- bring an individual claim in small claims court, if it qualifies; and
- seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or unauthorised access to the Service.
19.4 Class action and jury waiver
You and Suhbah each agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and each waive the right to a jury trial. The arbitrator may not consolidate claims or preside over any form of representative proceeding. If this paragraph is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court, while the rest of this section continues to apply.
19.5 Where and how
Arbitration will be conducted in the county where you live, or remotely by telephone or video, or — if both agree — on documents alone. Where the AAA Consumer Rules require us to pay filing and arbitrator fees, we will. If your claim is for $10,000 or less, you choose whether the arbitration proceeds on documents, by phone or video, or in person.
19.6 Your right to opt out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms. Email saad@smughal.com with the subject "Arbitration Opt-Out", stating your name, the email address on your account, and that you're opting out. Opting out doesn't affect anything else in these Terms, and it will not be held against you in any way.
19.7 One year to bring a claim
To the extent permitted by law, any claim relating to the Service must be brought within one year after it arises, or it is permanently barred.
20. Governing law
These Terms and any dispute arising from them are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act where it applies. For any dispute not subject to arbitration, you and Suhbah consent to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey.
If you're a consumer resident in the EEA or the UK, nothing here deprives you of the protection of mandatory consumer law in your country of residence, or of your right to bring proceedings in your local courts.
21. Changes to these terms
We may update these Terms as Suhbah changes. When we make a material change we'll update the version stamp above and notify you in the app or by email at least 30 days before it takes effect, unless a change is required sooner by law or to address a security or safety issue. For significant changes we may ask you to accept the new version.
Continuing to use Suhbah after a change takes effect means you accept the updated Terms. If you don't accept them, delete your account.
22. General
- Entire agreement. These Terms, the Privacy Policy and the Community Guidelines are the entire agreement between you and us about the Service, and supersede any prior agreements.
- Severability. If any provision is held unenforceable, it's modified to the minimum extent necessary or severed, and the rest stays in force.
- No waiver. Not enforcing a provision isn't a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may notify you in the app, by email to your account address, or by posting on suhbah.app. Notices to us go to saad@smughal.com.
- No third-party beneficiaries, except Apple as stated in section 14.
- Export and sanctions. You may not use the Service in violation of U.S. export control or sanctions laws.
- Relationship. Nothing here creates a partnership, joint venture, agency or employment relationship between you and us. Hosts, creators and businesses are independent.
- Language. These Terms are written in English; an English version controls in the event of a conflict with any translation.
